Business Partner Collaboration Policy
A. Introduction
Thank you for your support and care for WSTIANMAO!
WSTIANMAO’s products has entered the fixture and equipment industry with its brand "WSTIANMAO" for more than 10 years, sincere gratitude to all business partners as the company has shown significant business performance under the support and promotion of all of them. To ensure the interests of all business partners, in line with the principle of equality and mutual benefit to continue to develop new markets, we would provide the following support to those authorized collaboration merchants:
1. Provides product sample, product information and product training.
2. Upholds the "cultivate and harvest" principle and against reap without sowing.
3. Would feedback the response and required information of clients within authorized regions to respective authorized agents.
4. Provides the latest product information.
5. Meet with the requirements of business partners, such as visit clients.
6. If necessary, jointly hold product and technology sharing meeting with end-users.
7. Places necessary advertisement in media and participates in exhibitions in order to enhance the publicity of WSTIANMAO and business partners.
The purpose of this manual is to allow the business partners of WSTIANMAO clearly understand the rights and obligations of both of the parties, ensures the collaboration policy could function properly with business partners and in turn protects the best interests of them.
B. Authorized region/area
The scope of region or area in collaboration with business partner has been stated in the collaboration contract, business partner should conduct their promotion activities within the authorized region or area. WSTIANMAO does not support authorized partners engaging in low price competition on their sales strategies. If business conflicts or disputes occur with authorized business partners, WSTIANMAO would only support to the client collaboration merchant who filed the first report.
To allow WSTIANMAO’s products widely promoted in the authorized region or area, WSTIANMAO encourages the authorized business partners to develop downstream sales distribution system, notifications should be submitted to WSTIANMAO with valid documents in parallel in order to avoid the direct connection or approach with WSTIANMAO as it would impair the interests of partners. If the key clients within the region or area have not been actively developed, WSTIANMAO reserves the right to develop.
For those businesses of unauthorized clients, WSTIANMAO would support the one who file the report first and adopts the “priority of information" for the principles of management.
C. Pricing
After the successful development of the client, business partners should send the technical information of clients’ product to WSTIANMAO; WSTIANMAO would calculate the cost of raw materials, labor, equipment and processing costs etc. based on the technical requirements, with the addition of certain degree of profit, offers the lowest price quotation to our business partner.
Meanwhile, WSTIANMAO would provide the market referential prices information of the product to business partner, the business partner could decide its own quotation to their client and WSTIANMAO would not involve in it. The difference of the two quotations would be the profit of the business partner.
D. The maintenance of the products
WSTIANMAO and its authorized business partner would hold jointly maintenance commitments to the users as follows:
1. The problems of the clients should be addressed in 1 working day after receipt.
2. If the problem could not be resolved by business partners, the products could be returned to WSTIANMAO. The after sales service department of WSTIANMAO would repair the products as soon as possible.
3. The transportation costs arising from the maintenance should be borne unidirectionally by the respective WSTIANMAO and the authorized business partner (The transportation costs arising from the maintenance of new products would be borne by WSTIANMAO, but business partner is required to provide supporting receipts)
The warranty period of WSTIANMAO’s product should be referred to the instructions of the product, 30 days in addition of the shipment date delivered from WSTIANMAO.
Any damages caused by non-artificial reasons within the warranty period, the fees will be waived. Any damages caused by artificial reasons shall be charged for appropriate fees.
Fees will be charged for maintenance after the warranty period including the cost of repair, labor cost and transportation cost.
E. Special Competitive Discount
To help business partners facing the competition from other manufacturers of the products, WSTIANMAO will, in special circumstances, apart from providing discounts on price difference, but also offering additional special price discounts.
The so-called special circumstances, refers to the single contract or procurement plan with more than RMB100000.
High profits deal is not the focus of the special competitive discount; it aims to achieve win-win comprehensively through the co-operation between WSTIANMAO and business partners.
To enjoy the special competitive discount should subject to the reporting and filing of valid documents including client information, product type, quantity, competitor and its product quotation after consultations, so that WSTIANMAI could understand more about the clients and will participate in the negotiation between the business partner and the client if necessary.
The products under special competitive discounts could only be sold to the clients who have reported and filed in the system, resale is prohibited, the discount offer or incentive will be terminated if violation is found, in serious situation, it will subject to authority suspension or even termination of the eligibility of the collaboration agent.
F. Outbound transactions(in RMB)
To strengthen the price competitiveness of products, WSTIANMAO encourages qualified large distributors (or their clients) conduct the payment in RMB transactions.
G. Termination of collaboration
WSTIANMAO reserves the right to terminate the contract with the authorized business partner at any time, provided that 30 days prior termination notice in writing is given to other party.
H. Others
The formulation of this collaboration agency policy is based on the principle of equality, reciprocity and mutual benefits. WSTIANMAO reserves the right to the interpretation of the above terms and conditions. Any outstanding items will be supplemented and added to the policy.
